SOME KEY
POINTS TO
BYLAWS OF
ST. PIUS X ALUMNI ASSOCIATION, INC.
A NONPROFIT CORPORATION ORGANIZED UNDER
THE LAWS OF THE STATE OF NEW YORK

Article
I
Name and Purpose:
- Not-for-Profit
Corp to promote periodic alumni reunions and website.
- Office
is Treasurer address.
- Fiscal
year is April 1 to March 31.
Article
II Membership:
- Eligible
members are graduates or anyone attending St Pius for 2 consecutive
years.
- Annual
dues are determined each year.
- Paid
members may vote for Directors.
Article
III Meeting of Members:
- No
annual meeting required.
- Voting
for Directors can be done by mail or e-mail.
- No
proxies.
Article
IV Directors:
·
Minimum
of 3 (as required by State of New York for Not-for-Profit Corp) and
maximum of 5 as approved by the Board.
- Required
to meet at least once every 6 months.
- Term
of Office is 3 years but can be re-elected.
- Terms
will be staggered so each year at least 1 Director position is up
for a vote.
- Board
of Directors nominates candidates for Directors.
- No
proxies.
Article
V Officers:
- Only
Directors can be Officers.
- Only
Directors can nominate and vote for Officers.
- Term
of Office is 1 year but can be re-elected.
Article
VI Committees:
- 3
standing Committees: the Reunion Committee and Membership Committee
both chaired by the President and the Nominating Committee chaired
by a Vice President.
- Special
Committees can be created with approval of the Directors.
Article
VII Financial Matters:
- No
need to create separate bank checking accounts for different
Association purposes.
- There
can be one bank account and the Treasurer will maintain accurate
accounting and present financial statements.
- Distribution
of funds are restricted to the purpose of the Association, as
adopted by the Board of Directors.
- Distributions
cannot personally benefit Directors/Officers.
- With
Board approval, funds can assist members in need to attend an
Association-sponsored event.
Article
VIII Indemnification:
- Association
indemnifies Directors/Officers, Committee members, and volunteers
acting on authorized behalf of the Association.
Article
IX Chapters:
- Association
may authorize chapters.
Article
X Amendments:
- Bylaws
can be amended by Board of Directors vote or by Membership
referendum.
Article
XI Dissolution of
Association:
- Required
that if a Not-for-Profit dissolves, any funds must go to an
equivalent Not-for-Profit.
Article
XII Effective Date:
- Retroactive
to September 15, 2006.
